FOOD HELP MINNESOTA – LISTING SUBSCRIPTION TERMS & CONDITIONS
By checking “I Agree,” submitting your information, creating an account, or making any payment, you (“Client”) agree to these Terms & Conditions with *Food Help Minnesota* (“Food Help Minnesota,” “we,” “us,” “our”).

Directory-Only Service
Food Help Minnesota provides a directory listing and visibility service. We do not provide food assistance services and are not responsible for the operations, eligibility rules, policies, quality, or actions of any listed organization or participating retailer. We act only as a platform that displays information and connects users to third parties.

Monthly Subscription Fee and Billing
You authorize Food Help Minnesota to charge a recurring *$100.00 USD per month* for your listing subscription, unless otherwise agreed in writing. Charges will be billed to the payment method you provide. You are responsible for maintaining a valid payment method and for any applicable taxes or processing fees.

No Refunds
*All payments are final and non-refundable.* No refunds or credits will be issued for partial months, unused time, delayed publication, suspension, removal, or cancellation, except where required by law.

Submission of Listing Information
You agree to provide accurate and complete information for your listing (including name, description, address, hours, contact details, program types, links, images, and videos, as applicable). You are solely responsible for keeping your listing information current.

Review, Editing, and Publication Timing
Listing review, formatting, verification, editing, approval, and publication timing are *at Food Help Minnesota’s discretion*. We may edit content for clarity, consistency, and formatting without changing the intended meaning, and we may request additional information before publishing or updating a listing.

Rights to Content You Provide
You represent that you own or have permission to use all submitted content (including logos, photos, videos, text, and trademarks). You grant Food Help Minnesota a non-exclusive, royalty-free license to host, display, reproduce, and distribute your content solely for your listing and for promoting the directory.

Listing Standards and Removal
Food Help Minnesota may reject, suspend, or remove any listing that is misleading, inaccurate, illegal, infringing, offensive, or otherwise violates these Terms or platform standards, in our sole discretion.

Limitation of Liability
To the maximum extent permitted by law, Food Help Minnesota will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or business opportunities. Food Help Minnesota’s total liability for any claim will not exceed the amount paid by Client to Food Help Minnesota in the *30 days* prior to the event giving rise to the claim.

Indemnification
You agree to indemnify and hold harmless Food Help Minnesota from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your listing content, your services/operations, or your violation of these Terms.

Suspension or Termination
Food Help Minnesota may suspend or terminate your subscription and listing for non-payment, suspected fraud, or violation of these Terms. No refunds will be issued upon suspension or termination.

Changes to Terms
Food Help Minnesota may update these Terms at any time. Continued use of the platform or continued payment after changes constitutes acceptance of the updated Terms.

Governing Law
These Terms are governed by the laws of the State of Minnesota.
